BY ENTERING THE SWEEPSTAKES YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING.

I. ELIGIBILITY

THE SWEEPSTAKES IS OPEN ONLY TO LEGAL RESIDENTS OF ANY OF THE FIFTY (50) UNITED STATES OR THE DISTRICT OF COLUMBIA WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE AND THE AGE OF MAJORITY IN THEIR STATE OF RESIDENCE ON THE DATE OF ENTRY AND WHO HAVE A CAPWAY DEBIT ACCOUNT. EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, AND REPRESENTATIVES AND FAMILY MEMBERS OF SUCH INDIVIDUALS (OR PEOPLE LIVING IN THE SAME HOUSEHOLD WHETHER RELATED OR NOT) OF SPONSOR ARE NOT ELIGIBLE. FOR THE PURPOSES OF THE SWEEPSTAKES, FAMILY MEMBERS ARE DEFINED AS SPOUSE, PARTNER, MOTHER, FATHER, LEGAL GUARDIAN, IN-LAWS, GRANDMOTHER, GRANDFATHER, BROTHER, SISTER, CHILDREN AND GRANDCHILDREN (INCLUDING “STEP” AS THEY MAY APPLY). VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW.

II. AGREEMENT TO OFFICIAL RULES

By participating, entrants agree to be bound by these Official Rules and the decisions of Sponsor, which are binding and final on matters relating to these Sweepstakes. Winning is contingent upon fulfilling all requirements set forth herein. The Sweepstakes are governed by the laws of the United States and are subject to all applicable federal, state, and local laws and regulations.

III. HOW TO ENTER

For each month CapWay elects to run a Sweepstakes, the Sweepstakes begin at 12:01 a.m. (“EST”) on the last Friday of the month and ends at 11:59 a.m. EST on the last Friday of the month (each a “Sweepstakes Period”). The first Sweepstakes begins September 1, 2019. To participate and enter this Sweepstakes, you will need an Instagram, Facebook or Twitter (individually and collectively, the “Social Media Platform(s)”) account (each a “Social Media Account”) and a CapWay debit account.

If you don’t already have a CapWay debit account, visit https://www.capway.co or visit your mobile app store and download the CapWay application. It is free to access and download the CapWay application and otherwise create a CapWay debit account. By submitting your information and creating a CapWay debit account, you will be required to agree to the CapWay terms of service and privacy notice. If you do not agree to the CapWay terms of service and privacy notice, you cannot create a CapWay debit account.

If you don’t already have an account on one or more of the Social Media Platforms, visit them at www.Instagram.com, www.Facebook.com or www.Twitter.com, respectively, to create one; creating one of these Social Media Accounts account is free. By submitting your information and creating a Social Media Account, you will be required to agree to the corresponding Social Media Platform’s terms of service and privacy notice. If you do not agree to such terms of service and privacy notice, you cannot create such Social Media Account.

To enter the Sweepstakes, eligible individuals (“Entrants”) must: (1) follow the official CapWay account on the Social Media Platform you want to enter through (2) share the designated CapWay flyer on your Social Media Account, (3) tag CapWay in the post, and (4) indicate what bill you would have paid with the potential prize (an “Entry”).

Sponsor may disqualify entries if the Entry includes inappropriate, offensive, or other derogatory language or information. Sponsor reserves the right to remove, reject, or disqualify (along with the entrants who submitted them) any Entry which, in its opinion, (a) violates any of these Official Rules or the terms of service of CapWay or a Social Media Platform, (b) infringes, misappropriates, or violates any rights of any third party including, without limitation, patent, copyright, trademark, trade secret, or right of privacy or publicity, or (c) is otherwise inappropriate for inclusion in the Sweepstakes. For purposes of this Sweepstakes, only Entries that are recorded through a Social Media Platform’s servers will be considered. Other proof of submitting an Entry (such as a printed or copied screenshot or message) does not constitute proof of actual receipt of the Entry for purposes of this Sweepstakes. The applicable Social Media Platform database clock will be the official timekeeper for this Sweepstakes.

Sponsor may not receive entries from Social Media Accounts with “protected” or “private” updates (i.e., user has set their Social Media Account or so that only people the user has approved can view updates) due to the way the Social Media Platforms operate their service. Social Media Account posts not received by Sponsor will not be entered into the Sweepstakes. Multiple entrants are not permitted to share the same Social Media Account. Attempts made by an individual to submit Entries in violation of these Official Rules by using multiple or false contact information or otherwise may be disqualified. Entries that are generated by a macro, bot, or other automated means will not be accepted and will be void. Entries made by any other individual or any entity or group, or originating at any website other than as set forth specifically above, including, without limitation, through commercial sweepstakes subscription notification or entering services, will be declared invalid and disqualified for this Sweepstakes. As a condition of entering the Sweepstakes, without limiting any other provision in these Official Rules, each entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address and other information to third parties for the purpose of administering this Sweepstakes and complying with applicable laws, regulations, and rules. Such third parties may use your information for their own independent purposes in accordance with their own independent privacy practices. Except as otherwise contemplated in these Official Rules, Sponsor will use personal information collected in connection with the Sweepstakes in accordance with its online privacy policy, located at https://www.capway.co/privacy.

Sponsor is not responsible for any changes or unavailability of the Social Media Platforms that may interfere with the Sweepstakes or ability of entrant to timely enter, receive notices or communicate with Sponsor via the applicable Social Media Platform, in which case Sponsor, in its sole discretion, may terminate or modify the Sweepstakes. It is a potential winner’s responsibility to set his/her applicable Social Media Account to accept contacts by Sponsor and to timely check such account for any Sponsor direct messages.

Limit one (1) entry per person. All entries must be received by 11:59 a.m. EST on the last Friday of the month of the Sweepstakes Period to be eligible. Entries will not be acknowledged.

IV. DRAWINGS AND NOTIFICATION

Potential winners will be selected from all eligible entries received in a random drawing promptly following the end of the applicable Sweepstakes Period.

Potential winners will be notified promptly following the drawing by receiving a direct message from CapWay to their applicable Social Media Account with a request for additional information, such as name and address (a “Winner Notification”). Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential Winner. If legitimately claimed in compliance with these Official Rules, the Prize will be awarded.

V. PRIZES

For each Sweepstakes Period, Sponsor will choose the amount to be awarded (each, a “Prize” and collectively, the “Prizes”) and number of potential winners (each a “Winner” and collectively, the “Winners”). For example only, for the first Sweepstakes Period, Sponsor may award $1000 with choosing 10 winners with $100 each and next month Sponsor may award $500 with 2 winners winning $250 each. Once a Winner provides the required information, they will receive the cash prize in their CapWay debit account. If (a) any Winner Notification or other Sweepstakes communication is rejected or returned as undeliverable, (b) a potential Winner cannot be reached after a reasonable attempt has been made by Sponsor (as determined by Sponsor in its sole discretion), (c) a Winner cannot attend or participate in any portion of the applicable Prize, (d) the potential Winner fails to respond to a Winner Notification within the time periods set forth herein or (e) the potential Winner otherwise does not meet the requirements of these Official Rules as necessary to be eligible for the Prize, the Prize will be forfeited in Sponsor’s sole discretion and an alternate winner may be selected based on the original method of winner selection in Sponsor’s sole discretion. Sponsor has up to 30 days after notification to award the Prize.

Odds of winning depend on the number of eligible entries received. Winners are solely responsible for all expenses, costs or fees associated with acceptance and/or use of the Prizes not specified herein as being awarded including, without limitation, any and all taxes. Winners may not substitute, assign or transfer any Prizes, but Sponsor reserves the right, at its sole discretion, to stop the Sweepstakes at any time and in fact, not pick a Winner.

VI. RELEASE AND LIMITATION OF LIABILITY

Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered or incomplete entries or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the announcement of the Prizes, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in these Sweepstakes.

Persons who tamper with or abuse any aspect of the Sweepstakes or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of Sponsor, corrupt or impair the administration, security, fairness or proper play, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken. Entrants, by participating, agree that Sponsor, and its parents, affiliates, subsidiaries and advertising and promotion agencies, and all of their officers, directors, employees, representatives and agents (collectively, “Released Parties”) will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of the Prizes or participation in this Sweepstakes. The Winners, by acceptance of any Prize, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city and state), photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval.

AS A CONDITION OF PARTICIPATING, ENTRANT AGREES THAT A) UNDER NO CIRCUMSTANCES WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT OF POCKET EXPENSES, IF ANY, AND B) ALL CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THESE SWEEPSTAKES, OR ANY COMPENSATION OR CREDIT TO BE PROVIDED, SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; AND C) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO $100, AND IN NO EVENT SHALL ENTRANT BE ENTITLED TO RECEIVE ATTORNEYS’ FEES OR OTHER LEGAL COSTS OR EXPENSES.

VII. DISPUTES

Except where prohibited, all entrants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or the Prizes shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of Georgia. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any entrant and Sponsor, shall be governed by, and construed in accordance with the laws of the State of Georgia, without giving effect to any choice of law or conflict of law rules or provisions. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

VIII. ANNOUNCEMENT OF WINNERS

For the names of the Winners, available after the end of each Sweepstakes Period, please contact Sheena Allen at Sheena@CapWay.co for receipt. Sponsor has sixty (60) days to process your request after receipt. Any guidelines which may be suggested are only suggestions.
